As referenced in this agreement, “BeUnico” means BeUNICO, LLC, a Virginia Limited Liability Company, the registered owner of BeUNI.co, together with any and all related international subsidiaries, agents, and assigns.

We provide a marketplace where Americans can view and purchase Italian fashion, furniture, home goods, and other merchandise either from BeUNICO or directly from one of our partner manufacturers or resellers. We hope you enjoy our website and we hope to welcome you to our store in Washington, D.C. very soon.
· breach or circumvent any laws, third-party rights or our systems, policies, or determinations of your account status;
· use our Services if you are not able to form legally binding contracts (for example if you are under 18);
· fail to pay for items purchased by you, unless you have a valid reason, for example, the item's description is materially changed after your purchase, a clear typographical error is made, or you are unable to contact the seller;
· post false, inaccurate, misleading, defamatory, or libelous content;
· take any action that may undermine the feedback or ratings systems;
· distribute viruses or any other technologies that may harm BeUNICO, or the interests or property of users;
· use any robot, spider, scraper, or other automated means to access our Services for any purpose;
· bypass our robot exclusion headers, interfere with the working of our Services, or impose an unreasonable or disproportionately large load on our infrastructure;
· reproduce, perform, display, distribute, reverse engineer, or prepare derivative works from content that belongs to or is licensed to BeUNICO, or that comes from the Services and belongs to a third party including works covered by any copyrights, trademark, patent, or other intellectual property right, except with prior express permission of the party holding the right to license such use;
· commercialize any BeUNICO application or any information or software associated with such application;
· harvest or otherwise collect information about users without their consent; or
· circumvent any technical measures we use to provide the Services.
If we believe you are abusing www.BeUni.co in any way, we may, in our sole discretion and without limiting other remedies, limit, suspend, or terminate your user account(s) and access to our Services, delay or remove hosted content, remove any special status associated with your account(s), remove and demote listings, reduce or eliminate any discounts, and take technical and/or legal steps to prevent you from using our Services.
Inventory and Listing. BeUNICO offers items for sale from inventory held in a fulfillment center or directly from manufacturers or resellers in Italy. As such, BeUNICO may or may not have actual knowledge regarding products available for purchase on www.BeUni.co. However, BeUNICO attempts to be as accurate as possible in including product descriptions on this site. However, BeUNICO does not warrant that product descriptions or other content of any BeUNICO Service is accurate, complete, reliable, current, or error-free. If a product offered by BeUNICO itself is not as described, your sole remedy is to return it in unused condition. With respect to items sold by BeUNICO, we cannot confirm the price of an item until you order. Despite our best efforts, a small number of the items in our catalog may be mispriced. If the correct price of an item sold by BeUNICO is higher than our stated price, we will, at our discretion, either contact you for instructions before shipping or cancel your order and notify you of such cancellation. Other merchants may follow different policies in the event of a mispriced item. Additionally, some products available for sale are bespoke, one-of-a-kind, or otherwise unique products sold to you directly by the manufacturer or a reseller in Italy. Sales of some of these items are final and no returns are allowed. Please review all notices regarding return policies for individual items carefully before purchasing.
Purchase Conditions. When buying an item, you agree to the rules for buyers and that:

Risk of Loss. All items purchased from BeUNICO are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.
Return Policy. BeUNICO aspires to maintain 100% customer satisfaction. In furtherance of that goal, our return policy is simple, excluding certain items where sales are final, return your unused merchandise by shipping it back to our fulfillment center and we refund your purchase. Returns, Refunds, and Title. BeUNICO does not take title to returned items until the item arrives at our fulfillment center. At our discretion, a refund may be issued without requiring a return. In this situation, BeUNICO does not take title to the refunded item. Additionally, some products available for sale are bespoke, one-of-a-kind, or otherwise unique products sold to you directly by the manufacturer or a reseller in Italy. Sales of some of these items are final and no returns are allowed. Please review all notices regarding return policies for individual items carefully before purchasing.

Legal Disputes. PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS AND WILL HAVE A SUBSTANTIAL IMPACT ON HOW CLAIMS YOU AND BeUNICO HAVE AGAINST EACH OTHER ARE RESOLVED.
You and BeUNICO agree that any claim or dispute at law or equity that has arisen or may arise between us relating in any way to or arising out of this or previous versions of the Terms of Service, your use of or access to the Services, or any products or services sold or purchased through the Services, will be resolved in accordance with the provisions set forth in this Legal Disputes Section.
Applicable Law. You agree that, except to the extent inconsistent with or preempted by Federal Law, the laws of the Commonwealth of Virginia, without regard to principles of conflict of laws, will govern the Terms of Service and any claim or dispute that has arisen or may arise between you and BeUNICO, except as otherwise stated in the Terms of Service.
Agreement to Arbitrate. You and BeUNICO agree that any and all disputes or claims that have risen or may arise between you and BeUNICO relating in any way to or arising out of this or previous versions of the Terms of Service, your use of or access to www.BeUni.co, or any products or services sold, offered, or purchased through BeUNICO’s Services shall be resolved exclusively through final and binding arbitration, rather than in court. Alternatively, you may assert your claims in General District or Small Claims court, if your claims qualify and so long as the matter remains in such court and advances only on an individual (non-class, non-representative) basis. The Federal Arbitration Act governs the interpretation and enforcement of this Agreement to Arbitrate.
1. Prohibition of Class and Representative Actions and Non-Individualized Relief
YOU AND BeUNICO AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE OR PRIVATE ATTORNEY GENERAL ACTION OR PROCEEDING. UNLESS BOTH YOU AND BEUNICO AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S OR PARTY'S CLAIMS, AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, CLASS, OR PRIVATE ATTORNEY GENERAL ACTION OR PROCEEDING. ALSO, THE ARBITRATOR MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY'S INDIVIDUAL CLAIM(S). ANY RELIEF AWARDED CANNOT AFFECT OTHER USERS. If a court decides that applicable law precludes enforcement of any of this paragraph's limitations as to a particular claim for relief, then that claim (and only that claim) must be severed from the arbitration and may be brought in court, subject to your and BeUNICO's right to appeal the court's decision. All other claims will be arbitrated.
2. Arbitration Procedures
Arbitration is more informal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, and court review of an arbitration award is very limited. However, an arbitrator can award the same damages and relief on an individual basis that a court can award to an individual. An arbitrator should apply the terms of the User Agreement as a court would. All issues are for the arbitrator to decide, except that issues relating to arbitrability, the scope or enforceability of this Agreement to Arbitrate, or the interpretation of Section 1 of this Agreement to Arbitrate ("Prohibition of Class and Representative Actions and Non-Individualized Relief"), shall be for a court of competent jurisdiction to decide.
The arbitration will be conducted by the American Arbitration Association ("AAA") under its rules and procedures, including the AAA's Consumer Arbitration Rules (as applicable), as modified by this Agreement to Arbitrate. The AAA's rules are available at www.adr.org or by calling the AAA at 1-800-778-7879. The use of the word "arbitrator" in this provision shall not be construed to prohibit more than one arbitrator from presiding over an arbitration: rather, the AAA's rules will govern the number of arbitrators that may preside over an arbitration conducted under this Agreement to Arbitrate.
A party who intends to seek arbitration must first send to the other, by certified mail, a completed form Notice of Dispute ("Notice"). You may download a form Notice here. The Notice to BeUNICO should be sent to BeUNICO Inc., Attn: Litigation, Re: Notice of Dispute, 1001 N. 19th Street, STE 1200 PMB #77, Arlington, VA 22209. BeUNICO will send any Notice to you to the physical address we have on file associated with your BeUNICO account; it is your responsibility to keep your physical address up to date. All information called for in the Notice must be provided, including a description of the nature and basis of the claims the party is asserting and the relief sought.
If you and BeUNICO are unable to resolve the claims described in the Notice within 30 days after the Notice is sent, you or BeUNICO may initiate arbitration proceedings. A form for initiating arbitration proceedings is available on the AAA's site at www.adr.org. In addition to filing this form with the AAA in accordance with its rules and procedures, the party initiating the arbitration must mail a copy of the completed form to the opposing party. You may send a copy to BeUNICO at the following address: BeUNICO, Inc. c/o VA Registered Agent, LLC, 2800 Shirlington Rd., STE 503, Arlington, VA 22206. In the event BeUNICO initiates an arbitration against you, it will send a copy of the completed form to the physical address we have on file associated with your BeUNICO account. Any settlement offer made by you or BeUNICO shall not be disclosed to the arbitrator.
The arbitration hearing shall be held in the county in which you reside or at another mutually agreed location. If the value of the relief sought is $10,000 or less, you or BeUNICO may elect to have the arbitration conducted by telephone or based solely on written submissions, which election shall be binding on you and BeUNICO subject to the arbitrator's discretion to require an in-person hearing, if the circumstances warrant. In cases where an in-person hearing is held, you and/or BeUNICO may attend by telephone, unless the arbitrator requires otherwise.
The arbitrator will decide the substance of all claims in accordance with applicable law, including recognized principles of equity, and will honor all claims of privilege recognized by law. The arbitrator shall not be bound by rulings in prior arbitrations involving different users, but is bound by rulings in prior arbitrations involving the same BeUNICO user to the extent required by applicable law. The arbitrator's award shall be final and binding and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
3. Costs of Arbitration
Payment of all filing, administration and arbitrator fees will be governed by the AAA's rules, unless otherwise stated in this Agreement to Arbitrate. If the value of the relief sought is $10,000 or less, at your request, BeUNICO will pay all filing, administration, and arbitrator fees associated with the arbitration. Any request for payment of fees by BeUNICO should be submitted by mail to the AAA along with your Demand for Arbitration and BeUNICO will make arrangements to pay all necessary fees directly to the AAA. If (a) you willfully fail to comply with the Notice of Dispute requirement discussed above, or (b) in the event the arbitrator determines the claim(s) you assert in the arbitration to be frivolous, you agree to reimburse BeUNICO for all fees associated with the arbitration paid by BeUNICO on your behalf that you otherwise would be obligated to pay under the AAA's rules.
With the exception of any of the provisions in Section 1 of this Agreement to Arbitrate ("Prohibition of Class and Representative Actions and Non-Individualized Relief"), if an arbitrator or court decides that any part of this Agreement to Arbitrate is invalid or unenforceable, the other parts of this Agreement to Arbitrate shall still apply.
5. Opt-Out Procedure
IF YOU ARE A NEW BEUNICO USER, YOU CAN CHOOSE TO REJECT THIS AGREEMENT TO ARBITRATE ("OPT-OUT") BY MAILING US A WRITTEN OPT-OUT NOTICE ("OPT-OUT NOTICE"). THE OPT-OUT NOTICE MUST BE POSTMARKED NO LATER THAN 30 DAYS AFTER THE DATE YOU ACCEPT THE USER AGREEMENT FOR THE FIRST TIME. YOU MUST MAIL THE OPT-OUT NOTICE TO BEUNICO INC., ATTN: LITIGATION DEPARTMENT, RE: OPT-OUT NOTICE,1001 N. 19th STREET, STE 1200 PMB #77, ARLINGTON, VA 22209.
The Opt-Out Notice must include your name, address (including street address, city, state and zip code), and the user ID(s) and email address(es) associated with the BeUNICO account(s) to which the opt-out applies. You must sign the Opt-Out Notice for it to be effective. This procedure is the only way you can opt out of the Agreement to Arbitrate. If you opt out of the Agreement to Arbitrate, all other parts of the Agreement and its Legal Disputes Section will continue to apply to you. Opting out of this Agreement to Arbitrate has no effect on any previous, other, or future arbitration agreements that you may have with us.
6. Future Amendments to the Agreement to Arbitrate
Notwithstanding any provision in the User Agreement to the contrary, you and we agree that if we make any amendment to this Agreement to Arbitrate (other than an amendment to any notice address or site link provided herein) in the future, that amendment shall not apply to any claim that was filed in a legal proceeding against BeUNICO prior to the effective date of the amendment. The amendment shall apply to all other disputes or claims governed by the Agreement to Arbitrate that have arisen or may arise between you and BeUNICO. We will notify you of amendments to this Agreement to Arbitrate by posting the amended terms on www.BeUni.co at least 30 days before the effective date of the amendments. If you do not agree to these amended terms, you may close your account within the 30-day period and you will not be bound by the amended terms.
Judicial Forum for Legal Disputes. Unless you and we agree otherwise, in the event that the Agreement to Arbitrate above is found not to apply to you or to a particular claim or dispute, either as a result of your decision to opt out of the Agreement to Arbitrate or as a result of a decision by the arbitrator or a court order, you agree that any claim or dispute that has arisen or may arise between you and BeUNICO must be resolved exclusively by a state court located in Arlington County, Virginia or federal court located in Alexandria, Virginia. You and BeUNICO agree to submit to the personal jurisdiction of the courts located within Arlington County, Virginia for the purpose of litigating all such claims or disputes.
Entire Agreement. This Agreement constitutes the entire agreement between you and BeUNICO regarding the subject matter of this Agreement, and supersedes and replaces any other prior or contemporaneous agreements, or terms and conditions applicable to the subject matter of this Agreement. This Agreement creates no third party beneficiary rights.
Waiver, Severability, and Assignment. Our failure to enforce any provision of this Agreement is not a waiver of our right to do so later. If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible. You may not assign any of your rights under this Agreement, and any such attempt will be void. We may assign our rights under this Agreement to any of our affiliates or subsidiaries, or to any successor in interest of any business associated with the Services.
Modifications. We may modify this Agreement from time to time, and will always post the most current version on our site. If a modification meaningfully reduces your rights, we’ll notify you (by, for example, sending you an email or displaying a prominent notice within the Services). The notice will designate a reasonable period after which the new terms will take effect. Modifications will never apply retroactively. By continuing to use or access the Services after any modifications come into effect, you agree to be bound by the modified Agreement. If you disagree with our changes, then you should stop using the Services.
Translation. This Agreement was originally written in English (US). We may translate this Agreement into other languages. In the event of a conflict between a translated version and the English version, the English version will control.
Rights in BeUni.co and BeUNICO Content. All copyright, trademarks, design rights, patents and other intellectual property rights (registered and unregistered) in and on BeUni.co belong to BeUNICO and/or third parties (which may include you or other users.) BeUNICO reserves all of its rights inBeUni.co and BeUNICO content. Nothing in the Terms grants you a right or licence to use any trade mark, design right or copyright owned or controlled by BeUNICO or any other third party except as expressly provided in the Terms.
All images, graphics, code, software and other content used on or incorporated into this Web site, and their arrangement or integration, are subject to copyrights or other intellectual property rights held by or licensed to BeUNICO or its corporate affiliates, and all rights thereto are specifically reserved. Permission is granted to electronically copy, post and print hard copies of content from this Web site solely for personal, non-commercial purposes, and BeUNICO specifically reserves the right to ask that any such content be removed. Any other use of this Web site or content or information contained in this Web site is strictly prohibited, unless the written permission of BeUNICO first is obtained.
This Web site may contain typographical errors or inaccuracies and may not be complete or current. BeUNICO therefore reserves the right to correct any errors, inaccuracies or omissions (including after an order has been submitted) and to change or update information at any time without prior notice. Please note that such errors, inaccuracies or omissions may relate to pricing and availability, and we reserve the right to cancel or refuse to accept any order placed based on incorrect pricing or availability information. We apologize for any inconvenience.
Your Account. If you use www.BeUni.co or any mobile application associated therewith, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. BeUNICO does sell products for children, but it sells them to adults, who can purchase with a credit card or other permitted payment method. BeUNICO reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in its sole discretion.
Reviews, Comments, Communications, and Other Content. Visitors may post reviews, comments, photos, videos, and other content; send communications; and submit suggestions, ideas, comments, questions, or other information, so long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights (including publicity rights), or otherwise injurious to third parties or objectionable, and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam" or unsolicited commercial electronic messages. You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of a card or other content. BeUNICO reserves the right (but not the obligation) to remove or edit such content, but does not regularly review posted content.
If you do post content or submit material, and unless we indicate otherwise, you grant BeUNICO a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, perform, translate, create derivative works from, distribute, and display such content throughout the world in any media. You grant BeUNICO and sublicensees the right to use the name that you submit in connection with such content, if they choose. You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify BeUNICO for all claims resulting from content you supply. BeUNICO has the right but not the obligation to monitor and edit or remove any activity or content. BeUNICO takes no responsibility and assumes no liability for any content posted by you or any third party.
Copyright Complaints. BeUNICO respects the intellectual property of others. If you believe that your work has been copied in a way that constitutes copyright infringement please submit a report in writing including the following information:
· A physical signature of the person authorized to act on behalf of the owner of the copyright interest;
· A description of the copyrighted work that you claim has been infringed upon;
· A description of where the material that you claim is infringing is located on the site;
· Your address, telephone number, and e-mail address;
· A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
· A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

BeUNICO does not assume any responsibility or liability for the actions, product, and content of all these and any other third parties. You should carefully review their privacy statements and other conditions of use.
International Sales Terms and Conditions. Those items for shipment to countries outside of the U.S. may be subject to taxes, customs duties and fees levied by the destination country ("Import Fees"). The recipient of the shipment is the importer of record in the destination country and is responsible for all Import Fees.
With respect to each item for which Import Fees have been calculated, you authorize BeUNICO or Merchant (as applicable) to designate a carrier ("Designated Carrier") to act as your agent with the relevant customs and tax authorities in the destination country, to clear your merchandise, process and remit your actual Import Fees for such item.
"Import Fees Deposit" represents an estimate of the Import Fees that will be levied on the items in your order for shipment to countries outside of the U.S. By placing your order, you agree to allow BeUNICO and/or Merchant (as applicable) to collect the Import Fees Deposit for the applicable items in your order. This deposit will be used, on your behalf, to reimburse the Designated Carriers for the import fees that they have paid on your behalf to the appropriate authorities of the destination country.
You further agree that the Designated Carriers may disclose to BeUNICO or Merchant (as applicable) the amount of actual Import Fees levied on the item you have purchased from BeUNICO and/or Merchant ("Actual Import Fees"). In the event that the Import Fees Deposit exceeds the Actual Import Fees, BeUNICO or Merchant (as applicable) will refund the difference to you.
In the case of gifts or other purchases made on behalf of another recipient, you also agree to grant the foregoing authorizations on behalf of the recipient designated in your order.
To obtain details regarding the Actual Import Fees, or to obtain documentation or receipts in connection with customs clearance, you may contact the Designated Carrier specified in your shipment confirmation.
These terms and conditions are in addition to the standard Conditions of Use of the BeUni.co website. Pursuant to those terms, title and risk of loss for the items transfer to the recipient upon delivery to the common carrier in the United States.

International Sales Limitations. For products shipped internationally, please note that any manufacturer warranty may not be valid; manufacturer service options may not be available; product manuals, instructions and safety warnings may not be in destination country languages; the products (and accompanying materials) may not be designed in accordance with destination country standards, specifications, and labeling requirements; and the products may not conform to destination country voltage and other electrical standards (requiring use of an adapter or converter if appropriate).
